Summary

This Technology Industry Interim CFO is a senior M&A and CFO finance leader with recent public company crypto/blockchain experience and extensive transaction involvement working with mid-market companies and Private Equity firms to successfully close deals.  He has held senior finance leadership roles including as US Head, M&A and as CFO to a number of high-growth stage, mid-market and public companies, working closely with other C-suite executives to provide insights and solutions to mitigate risks and maximize deal returns. He has also led a number of both buys-side and sell-side M&A engagements through his consulting business. His transaction experience includes working directly with deal and client management teams to drive transaction and operational efficiencies.  In addition, he has led global integrations and divestitures as well as value creation, transformation and performance improvement projects. He is a team player who collaborates across functions to develop innovative solutions that accelerate transaction and project timelines while ensuring deal/project economics are achieved.

Specifically, he was Head of US M&A for a $1B+ public and PE-backed technology company. In that role, he successfully closed 7-8 deals over a three year period, leading all aspects of the transaction from sourcing to analysis, financial modeling, internal approvals, deal structuring and negotiation to post-merger integration. Through his M&A consulting, he was Due Diligence lead for a $5B public company’s acquisition of a $100M manufacturer as well as interim CFO for the succesful sale of a $20M DTC SaaS company and Sell-Side Advisor for the preparation-for-sale and roadshow of a $7M software company. In addition, he was VP, Head of M&A/Business Development for a large entertainment company where he held a similar role of analyzing deals and structuring partnerships.

He is also an experienced transactional CFO with recent SEC public company filing experience, including filing to take a crypto company public. He has proven success in driving business optimization and transformational process improvements to increase performance and profitability. He has worked for VC and PE-backed private as well as public companies. He has a proven ability to establish and lead financial operations, implement best-practices financial policies and controls and facilitate consensus amongst diverse stakeholders. He is also skilled at providing reliable analytical insight across multi-functional business units, including Business Development, Sales & Marketing, Operations and HR. He is a big-picture strategy as well as detailed hands-on professional fluent in FP&A, accounting, budgeting, month-end close, financial modeling, valuation analysis, fundraising, investor relations, deal structuring and project management.

Relevant Accomplishments

  • Led the successful acquisition of 7+ deals closed (ranging from $5M to $60M) as Head of US M&A for a $1Bn public, PE-backed technology company. Hired, grew and managed the M&A team responsible for sourcing, analyzing, modeling, structuring, negotiating and integrating all deals
  • As interim CFO of a crypto company, led the successful filing of the S-4 SEC public company merger application with the SEC. Helped lead deal structuring, legal documentation and oversaw all financial modeling, valuation analysis and the PCAOB audit
  • Hired as Interim M&A consultant to lead the due diligence process of a $5Bn US fashion company’s acquisition of a $100M European manufacturer
  • As interim CFO, helped manage the successful “cleanup” of a $20M DTC consumer product SaaS company for the eventual roadshow, shopping and successful sale of the company
